מבוא

הסכם רישיון משתמש קצה זה ("EULA") הוא הסכם משפטי בינך לבין מהיום דיגיטל, שותפות רשומה בישראל שמספרה 558609962 ("מהיום", "אנחנו", "אנו" או "שלנו"), לשימוש באפליקציית מהיום ובכל עדכון, רכיב או שירות משולב שלה ("האפליקציה").

בהורדת האפליקציה, התקנתה או השימוש בה אתה מסכים ל-EULA זה, לתנאי השימוש ולמדיניות הפרטיות. אם אינך מסכים, אל תתקין או תשתמש באפליקציה.

1. הענקת רישיון

בכפוף לעמידתך במסמכים החלים, אנו מעניקים לך רישיון מוגבל, אישי, לא-בלעדי, לא-ניתן להעברה, לא-ניתן להענקת רישיון משנה ובר-ביטול להתקין ולהשתמש באפליקציה במכשירים שבבעלותך או בשליטתך, לשימוש אישי ולא-מסחרי בלבד ובהתאם לכללי החנות.

הרישיון אינו מכירה. כל זכות שלא הוענקה במפורש שמורה למהיום ולנותני הרישיון.

2. תנאי Apple App Store ו-Google Play

אם הורדת את האפליקציה מ-Apple App Store, ה-EULA נכרת בינך לבין מהיום בלבד ולא עם Apple. מהיום, ולא Apple, אחראית לאפליקציה, לתחזוקה, לתמיכה ולתביעות הקשורות אליה, בכפוף לדין. Apple אינה חייבת לספק תחזוקה או תמיכה.

אם האפליקציה אינה עומדת באחריות החלה שלא ניתן לשלול, ניתן להודיע ל-Apple והיא עשויה להשיב את מחיר הרכישה של האפליקציה, אם היה; במידה המרבית המותרת, ל-Apple אין חובת אחריות נוספת. מהיום אחראית לטיפול בתביעות מוצר, רגולציה או קניין רוחני הקשורות לאפליקציה.

אתה מצהיר שאינך נמצא במדינה הכפופה לאמברגו של ממשלת ארצות הברית ואינך מופיע ברשימת גורמים אסורים. עליך לעמוד בתנאי צד שלישי החלים על המכשיר והשירותים. Apple וחברות הבת שלה הן מוטבות צד שלישי של EULA זה ורשאיות לאכוף אותו.

אם הורדת מ-Google Play, חלים גם תנאי Google Play. במקרה של סתירה ביחס לכללי השימוש בחנות, הכללים הקוגנטיים של החנות גוברים במידה הנדרשת.

3. הגבלות רישיון

אסור לך, למעט ככל שהדין אוסר להגביל זאת:

• להעתיק, לשנות, לתרגם, ליצור יצירה נגזרת, להפיץ או לפרסם את האפליקציה.
• לבצע הנדסה לאחור, לפרק, לפענח, לעקוף הגנות או לנסות להפיק קוד מקור.
• להשכיר, להחכיר, להשאיל, למכור, להעביר, להעניק רישיון משנה או להפעיל את האפליקציה כשירות עבור צד שלישי.
• להסיר הודעת קניין, סימן מסחר או מנגנון אבטחה.
• להשתמש באפליקציה באופן בלתי חוקי, פוגעני, מטעה, מסחרי בלתי מורשה או בניגוד לתנאי השימוש.

4. עדכונים ותאימות

אנו רשאים לספק עדכונים, תיקונים, שינויי אבטחה או גרסאות חדשות. עדכון עשוי לשנות או להסיר תכונה ולהיות נדרש להמשך שימוש. אין התחייבות לתמיכה בכל מכשיר, מערכת הפעלה או גרסה.

הורדת עדכון כפופה ל-EULA זה, אלא אם מצורפים תנאים אחרים. איננו אחראים לבעיה הנובעת משימוש בגרסה ישנה, מערכת שאינה נתמכת, שינוי יצרן או פריצת מערכת.

5. הרשאות ותכונות הגנה

האפליקציה עשויה לבקש הרשאות התראות, מצלמה, תנועה, VPN, Screen Time, FamilyControls, ManagedSettings או AccessibilityService. הרשאות מופעלות דרך מערכת ההפעלה ומיועדות רק למטרות המתוארות בממשק ובמדיניות הפרטיות.

תכונות חסימה ותוכנית חירום הן מבוססות מאמץ מיטבי, עשויות להיכשל או להיחסם ואינן נעילת מכשיר בלתי ניתנת לעקיפה. אתה אחראי לשמור גישה לשירותי חירום, לבחור אפליקציות חיוניות ולוודא התאמה למכשירך.

6. מוח הזהב ורכיבי בינה מלאכותית

האפליקציה עשויה לכלול פלט שנוצר אוטומטית. פלט כזה עשוי להיות שגוי ואינו ייעוץ רפואי, פסיכולוגי, טיפולי, משפטי או שירות חירום. אין יחסי מטפל-מטופל או חיסיון מקצועי. המגבלות המלאות מופיעות בתנאי השימוש וב-https://mehayom.info/ai-safety.

7. שירותים וקוד של צד שלישי

האפליקציה משלבת שירותים, SDKs, ספריות וקוד פתוח של צדדים שלישיים. רכיבים מסוימים כפופים לרישיונות נפרדים. אין ב-EULA כדי לגרוע מזכויותיך לפי רישיון קוד פתוח החל.

שירותי צד שלישי עשויים להשתנות, להפסיק לפעול או להיות כפופים לתנאים שלהם. מהיום אינה אחראית לשירות חיצוני במידה שאינו בשליטתה.

8. נתונים ופרטיות

עיבוד מידע אישי כפוף למדיניות הפרטיות ולמדיניות המחיקה. השימוש בתכונה מסוימת עשוי לדרוש אחסון ענן, עיבוד AI, מדידת ייחוס או הרשאת מכשיר. אתה אחראי לקרוא את הגילויים ולהחליט אם להפעיל את התכונה.

אתה שומר בבעלותך על תוכן אישי ומעניק למהיום את הרישיון המוגבל הדרוש להפעלת האפליקציה כמפורט בתנאי השימוש.

9. מנויים

מנויים ורכישות בתוך האפליקציה מתבצעים דרך Apple או Google. תנאי המחיר, החידוש, הניסיון, הביטול וההחזר מופיעים בתנאי השימוש ובחלון החנות. מחיקת האפליקציה או החשבון אינה מבטלת מנוי.

10. בעלות וקניין רוחני

האפליקציה וכל זכויות הקניין הרוחני בה הן בבעלות מהיום או נותני הרישיון. שם מהיום, הלוגו, העיצוב והחומרים אינם ניתנים לשימוש ללא אישור. אין להסיק רישיון מכל שתיקה או התנהגות.

11. תמיכה ותחזוקה

אנו רשאים לספק תמיכה לפי שיקול דעתנו ובערוצים שפורסמו. איננו מתחייבים לזמן תגובה, פתרון כל תקלה או תחזוקה ללא הפסקה. בקשת תמיכה אינה יוצרת התחייבות מקצועית או חובת ניטור.

תמיכה אינה מוקד חירום. במקרה של סכנה מיידית יש לפנות לשירותי החירום המקומיים ולא להמתין למענה.

12. סיום הרישיון

הרישיון מסתיים אם תפר את ה-EULA או את תנאי השימוש, אם חשבונך נסגר, אם השירות מופסק או אם אנו מודיעים על סיום. עם הסיום עליך להפסיק להשתמש ולהסיר את האפליקציה.

הוראות בעלות, הגבלות, פרטיות, אחריות, שיפוי, דין וסעיפים שמטבעם שורדים ימשיכו לחול.

13. כתב ויתור על אחריות

במידה המרבית המותרת בדין, האפליקציה מסופקת "כפי שהיא" ו"כפי שזמינה" ללא אחריות מכל סוג, לרבות דיוק, סחירות, התאמה למטרה, אי-הפרה, זמינות, אבטחה, חסימה או תוצאה. איננו מתחייבים שהאפליקציה תהיה ללא שגיאות, תתאים לכל מכשיר או תמנע גישה לתוכן.

14. הגבלת אחריות

במידה המרבית המותרת בדין, מהיום דיגיטל והצדדים המוגנים המוגדרים בתנאי השימוש לא יישאו בנזק עקיף, תוצאתי, מיוחד, מקרי או עונשי, באובדן נתונים, רווח, שימוש או מוניטין, או בנזק הנובע מפלט AI, תכונת הגנה, צד שלישי, הרשאה או תקלה.

תקרת האחריות והחריגים החלים הם אלה הקבועים בתנאי השימוש. שום דבר ב-EULA אינו מגביל אחריות שלא ניתן להגביל בדין.

15. שיפוי

חובת השיפוי המוגבלת שבתנאי השימוש חלה גם על שימושך באפליקציה, במידה המותרת בדין. היא אינה חלה במידה שהנזק נגרם על ידי מהיום.

16. ציות לדין ויצוא

עליך להשתמש באפליקציה בהתאם לדין, לרבות דיני יצוא, סנקציות ופרטיות החלים עליך. אין להשתמש באפליקציה באזור או על ידי אדם שהדין אוסר לספק לו את השירות.

17. דין והוראות כלליות

EULA זה כפוף לדיני ישראל, בכפוף לזכויות קוגנטיות. סעיפי הדין, מחלוקות, הפרדה, ויתור, המחאה והודעות שבתנאי השימוש חלים גם כאן.

אם קיימת סתירה בין EULA זה לתנאי השימוש, EULA גובר בנושאי רישיון התוכנה ותנאי השימוש גוברים בנושאי השירות, מנוי והתנהגות משתמש, אלא אם דין או חנות קובעים אחרת.

Introduction

This End User License Agreement ("EULA") is a legal agreement between you and Mehayom Digital, an Israeli registered partnership, registration no. 558609962 ("Mehayom", "we", "us", or "our"), for use of the Mehayom mobile application and its updates, components, and integrated services (the "Application").

By downloading, installing, or using the Application, you agree to this EULA, the Terms of Use, and the Privacy Policy. If you do not agree, do not install or use the Application.

1. License grant

Subject to your compliance with the applicable documents, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Application on devices you own or control, solely for personal, non-commercial use and under applicable store rules.

The license is not a sale. All rights not expressly granted are reserved by Mehayom and its licensors.

2. Apple App Store and Google Play terms

If you obtained the Application from Apple App Store, this EULA is between you and Mehayom, not Apple. Mehayom, not Apple, is responsible for the Application, maintenance, support, and related claims, subject to law. Apple has no obligation to provide maintenance or support.

If the Application fails to conform to a non-disclaimable warranty, you may notify Apple and Apple may refund the purchase price of the Application, if any; to the maximum extent permitted, Apple has no other warranty obligation. Mehayom is responsible for addressing product, regulatory, and intellectual-property claims relating to the Application.

You represent that you are not located in a country subject to a U.S. Government embargo and are not listed as a prohibited or restricted party. You must comply with applicable third-party terms. Apple and its subsidiaries are third-party beneficiaries of this EULA and may enforce it.

If you obtained the Application from Google Play, Google Play terms also apply. If store usage rules conflict with this EULA, mandatory store rules control to the extent necessary.

3. License restrictions

Except where law prohibits restriction, you may not:

• Copy, modify, translate, create derivative works from, distribute, or publish the Application.
• Reverse engineer, decompile, decrypt, bypass protections, or attempt to derive source code.
• Rent, lease, lend, sell, transfer, sublicense, or operate the Application as a service for another person.
• Remove proprietary notices, trademarks, or security mechanisms.
• Use the Application unlawfully, abusively, deceptively, for unauthorized commercial purposes, or contrary to the Terms of Use.

4. Updates and compatibility

We may provide updates, fixes, security changes, or new versions. An update may change or remove a feature and may be required for continued use. We do not promise support for every device, operating system, or version.

An update is governed by this EULA unless separate terms accompany it. We are not responsible for problems caused by an outdated version, unsupported system, manufacturer modification, or compromised device.

5. Permissions and protection features

The Application may request notifications, camera, motion, VPN, Screen Time, FamilyControls, ManagedSettings, or AccessibilityService permissions. Permissions are enabled through the operating system and are used only for purposes described in the interface and Privacy Policy.

Blocking and Emergency Plan features are best-effort, may fail or be disabled, and are not an unbypassable device lock. You are responsible for preserving emergency-service access, selecting essential apps, and deciding whether the feature is appropriate for your device.

6. AI Coach and AI components

The Application may include automatically generated output. Output may be inaccurate and is not medical, psychological, therapeutic, legal, or emergency advice. No therapist-client relationship or professional privilege is created. Full limitations appear in the Terms of Use and https://mehayom.info/ai-safety.

7. Third-party services and code

The Application incorporates third-party services, SDKs, libraries, and open-source code. Some components are governed by separate licenses. Nothing in this EULA reduces rights granted under an applicable open-source license.

Third-party services may change, stop operating, or be subject to their own terms. Mehayom is not responsible for external services to the extent outside its control.

8. Data and privacy

Personal-information processing is governed by the Privacy Policy and Deletion Policy. Using a feature may require cloud storage, AI processing, attribution measurement, or device permission. You are responsible for reviewing disclosures and deciding whether to enable the feature.

You retain ownership of personal content and grant Mehayom the limited operational license described in the Terms of Use.

9. Subscriptions

Subscriptions and in-app purchases are made through Apple or Google. Price, renewal, trial, cancellation, and refund terms are described in the Terms of Use and store purchase sheet. Deleting the Application or account does not cancel a subscription.

10. Ownership and intellectual property

The Application and all intellectual-property rights in it are owned by Mehayom or its licensors. Mehayom’s name, logo, design, and materials may not be used without permission. No license arises by implication.

11. Support and maintenance

We may provide support at our discretion and through published channels. We do not promise a response time, resolution of every issue, or uninterrupted maintenance. A support request does not create a professional duty or monitoring obligation.

Support is not an emergency service. In immediate danger, contact local emergency services and do not wait for a response.

12. Termination

The license terminates if you breach this EULA or the Terms, your account closes, the Service is discontinued, or we give notice of termination. Upon termination, stop using and remove the Application.

Ownership, restrictions, privacy, warranties, liability, indemnity, governing law, and provisions intended to survive remain effective.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Application is provided "as is" and "as available", without warranties of accuracy, merchantability, fitness for purpose, non-infringement, availability, security, blocking effectiveness, or result. We do not warrant error-free operation, device compatibility, or prevention of content access.

14. Limitation of liability

To the maximum extent permitted by law, Mehayom Digital and the Protected Parties defined in the Terms of Use are not liable for indirect, consequential, special, incidental, or punitive damages; loss of data, profit, use, or reputation; or loss arising from AI output, a protection feature, a third party, permission, or outage.

The liability cap and exceptions in the Terms of Use apply. Nothing in this EULA limits liability that cannot lawfully be limited.

15. Indemnification

The limited indemnity in the Terms of Use also applies to your use of the Application, to the extent permitted by law. It does not apply to the extent loss was caused by Mehayom.

16. Legal and export compliance

You must use the Application in accordance with applicable law, including export, sanctions, and privacy rules. Do not use the Application in a jurisdiction or by a person to whom providing it is prohibited.

17. Governing law and general terms

This EULA is governed by Israeli law, subject to mandatory rights. The dispute, severability, waiver, assignment, and notice provisions in the Terms of Use also apply.

If this EULA conflicts with the Terms of Use, this EULA controls software-license matters and the Terms control Service, subscription, and user-conduct matters, unless law or store rules require otherwise.
